After the presentation, attendees should be able to:

  • Understand -at a basic level- how the legal systems of Latin American countries work, how the differ from the American legal system, and what are the general challenges for collecting debt through court.
  • Identify key information that sellers should look for when evaluating sales prospects (to avoid bad debt and fraud) and essential supporting documents and key terms of sale for gaining leverage over debtors.
  • Build a stronger credit policy by incorporating key information and terms in their credit applications.
  • Understand the different options for adding security, including discussion on pledge, mortgage, guaranty trust, bond, pagaré, title retention, and personal guarantee.
  • Understand how to enhance security devices to strengthen the position of creditors.
  • Identify recurring risks and problems related to cross-border transactions which render transactions unenforceable.
  • Identify unique risks that specific transactions or situations present for creditors (consignment, warehousing, bailment, lease, commodatum, etc.)

Speaker Bio:

Romelio Hernandez is President of HMH Legal, a professional corporation specialized in credit and collection services in Mexico. He is based in Tijuana, Baja California, México, where he works with foreign exporting companies and collection agencies assisting them with their out-of-court and legal collection efforts throughout Mexico and Latin America. His litigation experience of 20 years and exposure to international commercial law has allowed him to provide guidance to foreign companies in mitigating the various risks of selling international. Romelio graduated from Universidad Autónoma de Baja California, and was admitted to practice law in Mexico since 1997. Romelio holds a Masters’ Degree in Comparative Law (LL.M.) from the University of San Diego School of Law (2011).
